Terms of Service
Effective Date: October 05, 2026 · The Next Brand Co. (TNBC Studio)
01. Acceptance & Studio Engagement
These Terms of Service ("Terms") govern all project proposals, statement of work (SOW) documents, digital design deliverables, software code, and creative retainers provided by The Next Brand Co. ("we," "us," or "TNBC") to the client ("Client," "you," or "your").
By commissioning a project, accepting an official proposal, submitting an initial deposit invoice, or utilizing our deliverables, you confirm your legal capacity and agree to be bound by these Terms in full.
02. Scope of Services
Our studio provides end-to-end digital engineering and brand visual execution across four core verticals:
Custom-coded responsive websites, headless CMS integration, search engine optimization (SEO), and conversion architecture.
Full-stack Next.js/React applications, relational databases, REST/GraphQL APIs, CRM systems, and client management dashboards.
WordPress WooCommerce and custom storefronts, payment gateway integrations, catalog structure, and checkout optimization.
Scroll-stopping visual creatives, carousels, video assets, brand design systems, and monthly digital content retainers.
Specific deliverables, sprint timelines, and milestones for each engagement are outlined in your individual Proposal / Scope Document.
03. Milestone Approvals & Revisions
We operate on structured development sprints with transparent review checkpoints:
- Review Cycles: Each project phase (e.g. Wireframes, UI Design, Frontend Build, Quality Assurance) includes up to two (2) rounds of consolidated constructive feedback within the original agreed scope.
- Scope Adjustments: Requests for net-new features, third-party platform migrations, or architectural pivots outside the original scope document will be estimated as a separate sprint addendum at our studio hourly/milestone rate.
- Timely Feedback: The Client agrees to provide feedback, necessary media copy, and approvals within five (5) business days to keep project launch dates on schedule.
04. Intellectual Property & Code Ownership
Upon full settlement of all invoice balances for a project, 100% full intellectual property, source code, design assets, and copyright of the commissioned custom work are irrevocably transferred to the Client.
Third-party open source frameworks (e.g. Next.js, React, Tailwind CSS, MIT/Apache libraries) remain governed by their respective standard open-source licenses.
Unless explicitly restricted via a signed NDA prior to kickoff, The Next Brand Co. reserves the right to showcase the shipped work, screenshots, and verified metrics in our design portfolio and case study archives.
05. Fees, Invoicing & Payment Terms
- Payment Schedule: Fixed-price projects typically follow a 50% mobilization deposit upon contract execution and 50% upon final staging approval before domain transfer or production code release.
- Monthly Retainers: Social media creative and maintenance retainers are invoiced at the beginning of each billing cycle, payable within seven (7) business days.
- Payment Channels: Invoices are payable via direct corporate bank transfer (NEFT/RTGS/IMPS), UPI, or authorized corporate payment gateway links.
- Overdue Accounts: Work or production deployments may be paused if milestone invoices remain unpaid beyond fifteen (15) calendar days from due date.
06. Project Delivery & Final Payment Terms
Once the project is successfully connected to and made live on the client’s domain or designated platform, it will be considered officially live and ready for delivery.
Once the project is successfully connected to and made live on the client’s domain or designated platform, it will be considered officially live and ready for delivery.
After the domain connection is completed, a 48-hour period will be provided for final checks, deployment verification, and ensuring that the project is functioning properly in the live environment.
Upon completion of this 48-hour period, the project will be considered fully delivered, and the remaining/final payment must be cleared within the next 24 hours.
07. Client Assets & Legal Warranties
The Client warrants that all trademarks, photography, videos, copy, and datasets provided to us are either owned by the Client or properly licensed. The Client agrees to indemnify and hold harmless The Next Brand Co. from any copyright or trademark claims arising from Client-supplied materials.
08. Post-Launch Support & Warranty
We stand by the engineering quality of everything we ship. Every website and software build delivered by The Next Brand Co. includes a 30-day post-launch warranty period during which any unforeseen functional bugs or rendering issues attributable to our original code are diagnosed and resolved at no additional charge.
Ongoing server management, security patch updates, third-party plugin updates, and feature additions beyond the warranty period are available via our dedicated Monthly Maintenance Retainer.
09. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall The Next Brand Co., its developers, or its partners be liable for any indirect, incidental, or consequential commercial damages, loss of anticipated revenue, or third-party cloud service outages (including AWS, Vercel, Hostinger, domain registrars, or payment gateway network downtime). Our aggregate financial liability under any circumstance is limited to the fees paid by the Client for the specific engagement giving rise to the claim.
10. Governing Law & Commercial Desk
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Uttar Pradesh, India.
